Terms of Service

1. Definitions

• "Event" refers to the Sol Global System Corporation 1st Anniversary Grand Celebration scheduled for December 12, 2026.
• "Platform" refers to the event registration website operated by SCALEUPX SOLUTION INC. on behalf of the Client.
• "Ticket" refers to the confirmed registration and assigned ticket number granting entry to the Event.
• "Products" refers to items available for purchase on the Platform, including but not limited to Solomon Herbal Coffee and SGS Vigor Juice.

2. Eligibility

To register for the Event and use the Platform, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By registering, you represent and warrant that you meet these requirements.

3. Registration and Ticket Issuance

• Registration is subject to availability and is not confirmed until approved by the Event Administrator.
• Each registrant will be assigned a unique sequential ticket number upon approval.
• The Event Organizer reserves the right to reject, cancel, or revoke any registration at its sole discretion.
• You are responsible for providing accurate and complete registration information. False or misleading information may result in cancellation of your registration.

4. Payment Terms

• Product purchases are priced at ₱500.00 per unit. Total cost is calculated based on quantity selected.
• Accepted payment methods include GCash, PayMaya, and Bank Transfer (BPI).
• Payment must be completed and proof of payment uploaded through the Platform before your order can be processed.
• All payments are subject to verification by the Event Administrator.
• Prices are in Philippine Pesos (₱) and are inclusive of applicable taxes unless otherwise stated.

5. Refund and Cancellation Policy

• All payments for products are non-refundable once verified and approved by the administrator.
• In the event of cancellation of the Event by the Organizer, attendees will be notified via email and refund arrangements will be communicated separately.
• The Event Organizer reserves the right to change the event date, venue, or program without prior notice.

6. Event Participation

• Attendees must present their ticket number or confirmation email for entry to the Event.
• The Event Organizer reserves the right to refuse entry to any individual who violates these Terms or engages in disruptive behavior.
• Attendance at the Event is at your own risk. The Event Organizer and Service Provider shall not be liable for any personal injury, loss, or damage incurred during the Event.

7. Prizes and Giveaways

• Prizes include but are not limited to: 5 units of Oppo REALME C30 cellphones, Bluetooth Karaoke Speakers (Brodu BTS-1989/BTS-2258), and other items as announced.
• Prize winners will be selected through raffle draws or other mechanisms determined by the Event Organizer.
• Winners must be present at the Event to claim their prizes unless otherwise stated.
• Prizes are non-transferable and cannot be exchanged for cash.
• The Event Organizer reserves the right to substitute prizes of equal or greater value without notice.

8. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, and software, is the property of Sol Global System Corporation or SCALEUPX SOLUTION INC. and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.

9. Limitation of Liability

To the fullest extent permitted by law, neither SCALEUPX SOLUTION INC. nor Sol Global System Corporation shall be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, registration for the Event, or attendance at the Event. Our total liability shall not exceed the amount paid by you for products or services through the Platform.

10. Indemnification

You agree to indemnify, defend, and hold harmless SCALEUPX SOLUTION INC., Sol Global System Corporation, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses arising out of your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising from these Terms shall be resolved through amicable negotiation. If no resolution is reached, the dispute shall be submitted to the exclusive jurisdiction of the courts of the Philippines.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on the Platform. Your continued use of the Platform after any modifications constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the parties (SCALEUPX SOLUTION INC. and Sol Global System Corporation) regarding the subject matter herein and supersede all prior agreements and understandings.
